We want to update you on an important change regarding the future of Healthcare Technology Management Association – North Texas (the “Company”). 

Due to some unresolved tax filing issues from previous years, our Board has decided to dissolve the Company and transition the association to a newly formed non-profit corporation under a similar name, Healthcare Technology Management Association of NTX, with the same purpose. The Board of Directors has called a special meeting to approve the dissolution to be held on May 6, 2025, at 2:00 p.m. Central Time as a virtual meeting of members. The dissolution and transfer would occur in the manner required by Texas law – that is, under a Plan of Distribution and Dissolution (the “Plan”). Pursuant to the Plan, all of the activities and assets of the Company would be transferred to the new non-profit corporation. As noted above the purpose of the new corporation will remain exactly the same as the Company’s. The Board of Directors has approved the Plan, and recommends that you vote FOR the proposal approving the Plan. This step is necessary to protect our organization and ensure that we remain compliant and strong.

Importantly, this change won’t impact our mission or the services we provide to you – it’s about securing our future and setting us up for long-term success.
